Terms of Service

Virtuous Assistant and Cloud Technologies Private Limited

1. Acceptance of Terms

These Terms of Service (“Terms”) govern the access to and use of websites, professional consulting services, technology deployment, cloud migrations, software licensing, and ongoing managed support provided by Virtuous Assistant and Cloud Technologies Private Limited (“Virtuous Cloud”, “we”, “us”, or “our”).

By accessing this website, submitting a consultation request, engaging our architectural services, or subscribing to managed IT support, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our website or services.

2. Scope of Services

Virtuous Cloud provides specialized enterprise cloud architecture and technology deployment services, including but not limited to:

  • Productivity Solutions: Google Workspace, Microsoft 365, and Zoho Workplace provisioning, deployment, licensing, and security hardening.
  • Cloud Infrastructure & AI: Architecture design, deployment, and optimization across Microsoft Azure, Google Cloud Platform (GCP), and Ace Cloud.
  • Workload & Email Migrations: End-to-end cutovers from legacy on-premises servers (e.g. Exchange, Zimbra, cPanel) and cross-platform migrations between cloud suites.
  • Security, Identity & Governance: Cloud Identity, Entra ID, Multi-Factor Authentication (MFA), Conditional Access, DLP, and SPF/DKIM/DMARC email authentication.
  • Managed IT Operations & Support: Ongoing proactive tenant administration, tier-3 incident escalation, and cost optimization retainers.

3. Statements of Work & Project Phasing

All specific customer transformation engagements are governed by mutually agreed Statements of Work (SOW) or commercial proposals outlining defined scopes, delivery phases, timelines, deliverables, and commercial pricing.

In alignment with our engineering delivery discipline, we assess prior to execution and sequence complex tasks (such as platform transitions and advanced security rollouts) to eliminate operational cutover risks and prevent business downtime.

4. Client Administrative Sovereignty & Data Ownership

We believe in total client sovereignty and operational transparency:

  • Tenant Ownership: The client retains 100% root administrative ownership, encryption keys, and credentials for all Google Workspace, Microsoft 365, Azure, Google Cloud, and Ace Cloud tenants.
  • Data Property: All client data, emails, file repositories, database records, and intellectual property remain the sole and exclusive property of the client.
  • No Lock-In: Virtuous Cloud does not utilize proprietary proxies or restrictive mechanisms that prevent clients from managing or transitioning their own environments.

5. Software Subscriptions & Vendor Agreements

When purchasing software licenses or cloud consumption (e.g. Google Workspace, Microsoft 365, Azure, GCP, Ace Cloud) through Virtuous Cloud as an authorized partner, client usage is subject to the respective third-party vendor terms:

  • Google Cloud & Google Workspace Terms of Service and Customer Agreement.
  • Microsoft Cloud Agreement and Microsoft Customer Agreement (MCA).
  • Ace Cloud Terms of Service and Acceptable Use Policies.
  • Zoho Terms of Service and Privacy Policy.

Clients are responsible for timely payment of license subscription invoices in accordance with commercial terms to prevent service suspension by respective cloud providers.

6. Confidentiality & Non-Disclosure

Virtuous Cloud treats all non-public technical, operational, and commercial information disclosed during pre-sales assessments, migration discovery, and ongoing support as strictly confidential.

We maintain rigorous security controls and do not disclose, distribute, or share client credentials or sensitive corporate communications with any third party, except as necessary to deliver authorized cloud services or as mandated by applicable law.

7. Support Operations & Response Targets

Our ongoing managed IT and support operations operate with dedicated tier-3 senior architect escalation channels. While we maintain a verified track record of replying to the vast majority of technical support tickets in under 30 minutes during business hours, formal contractual SLAs apply only when specifically scheduled in a custom enterprise support agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Virtuous Cloud and its directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities arising out of or related to the use of cloud platforms, third-party vendor downtime, or unexpected upstream cloud infrastructure outages.

Our aggregate liability for any direct claim arising under a specific Statement of Work shall be limited to the total fees paid by the client to Virtuous Cloud under that SOW in the preceding three (3) months.

9. Governing Law & Jurisdiction

These Terms of Service and all related agreements shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India.

Any disputes, controversies, or claims arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be subject to the exclusive jurisdiction of the competent courts located in Gurugram / Delhi NCR, India.
